TERMS OF USE
1. PURPOSE
The purpose of these Terms of Use ("Terms") is to govern the relationship between the user ("User") and the company ("Company") concerning the use of the Company's software as a service application (the "Service"). The Service generates text content based on User input, producing written artifacts for use in software and product development lifecycles.
2. PRIVACY
The Company is committed to respecting the privacy of Users. The Company will collect the minimal information necessary to create and manage a User account. User data may be temporarily stored by the Company for the purposes of quality assurance and auditing. 3. USER OBLIGATIONS
The User agrees to use the Service responsibly and in compliance with all applicable local, state, national, and international laws and regulations. The User expressly agrees to refrain from using the Service for any illegal activities or other activities that could harm the Service, the Company, or other Users. The Company reserves the right to terminate the account of any User found to be in violation of these obligations.
4. INTELLECTUAL PROPERTY
Except for the rights expressly granted under these Terms, the User retains all right, title, and interest in and to the text content generated by the Service based on User input.
5. FEES AND PAYMENT
Users agree to pay the Company the fees as detailed in the pricing schedule on the Company's website. Payment shall be made on a regular basis as chosen by the User: monthly, annually, or a lump-sum lifetime payment.
6. TERMINATION
Users have the right to terminate these Terms and their account at any time by providing written notice to the Company. If a User terminates their account within 10 calendar days of their last renewal date, they will be eligible for a refund. No refunds will be given for terminations that occur more than 10 days after the last renewal date. Notwithstanding any termination of these Terms, Users shall continue to have access to the Service until the end of their current subscription period.
7. DISPUTE RESOLUTION
The parties agree to attempt to resolve any dispute related to these Terms or the Service through good faith negotiation. If negotiation is unsuccessful, the parties agree to resolve the dispute through binding arbitration. The User hereby waives their right to a jury trial.
8. WARRANTIES AND LIABILITIES
The Company provides the Service on an "as is" basis and disclaims any and all warranties, whether express or implied, to the maximum extent permitted by law. The Company's liability related to the User's use of, or inability to use, the Service is limited to the amount of fees paid by the User to the Company in the twelve months prior to the event giving rise to the liability.
9. MODIFICATION OF TERMS
The Company reserves the right to modify these Terms at any time. If these Terms are materially modified, the Company will provide written notification to the User within five business days of the changes being made.
10. GOVERNING LAW
These Terms and any disputes arising out of or relating to these Terms or the Service shall be governed by the laws of the State of New York, without regard to its conflict of laws principles.
11. THIRD-PARTY SERVICES AND LINKS
The Service may include links to or integration with third-party services. The User acknowledges and agrees that the Company is not responsible for these third-party services and that the terms of use of these third-party services will govern their use.
12. ACCURATE INFORMATION
Due to the inherent nature of generative content technologies, the User acknowledges that the information provided by the Service may contain inaccuracies or errors. The Company disclaims any liability for such inaccuracies or errors to the fullest extent permitted by law. Users should exercise discretion and critical judgment when using the generated content.
13. SERVICE AVAILABILITY
The Company will use reasonable efforts to ensure that the Service is available twenty-four hours a day, seven days a week. However, there will be occasions when the Service will be interrupted for maintenance, upgrades and repairs, or due to the failure of telecommunications links and equipment that are beyond the Company's control. The Company will take reasonable steps to minimize such disruption where it is within the Company's control.
14. USER CONTENT
The User retains all right, title, and interest in and to any text content they create, upload, or share through the Service. The Company reserves the right to use this User content for quality assurance, marketing, and other business-related purposes, provided that such use complies with the Company's Privacy Policy.
15. USER ACCOUNTS
Users are required to register and create an account to use the Service. Users agree to provide true, accurate, and complete information as prompted by the registration process and to update this information to maintain its truthfulness, accuracy, and completeness. Each User is responsible for maintaining the confidentiality of their account password and for all activities that occur under their account.
16. COMPANY DATA
All data and information provided by the Company in connection with these Terms and the Service, including, but not limited to, the performance data of the Service and other data related to the Company's operations, are the proprietary information of the Company. Users agree not to disclose or disseminate the Company's proprietary information without the Company's prior written consent.
17. USER FEEDBACK
The Company welcomes feedback, comments, and suggestions for improvements to the Service ("Feedback"). Users agree that the Company has the right, but not the obligation, to use any Feedback without any obligation to provide attribution or compensation to the User.
18. INDEMNIFICATION
The User agrees to defend, indemnify, and hold the Company, its officers, directors, employees and agents, harmless from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees and costs, arising out of or in any way connected with the User's access to or use of the Service, or the User's violation of these Terms.
19. SEVERABILITY
If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.
20. ENTIRE AGREEMENT
These Terms constitute the entire agreement between the parties with respect to the subject matter hereof and supersede and replace all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter.
